Introduction These Terms of Use (“Agreement”) govern your use of the mobile application "Allydium Hub" (the “App”), a mobile referral and cashback CRM system developed, owned, and maintained by the ProjectM LLC. By accessing or using the App, you agree to comply with this Agreement. If you do not agree to these Terms, do not use the App. The latest version of this Agreement is available within the App and at https://projectm.space/allydium-terms-of-use 2. Definitions For the purposes of this Agreement, the following terms have the meanings set forth below: • “App” refers to the mobile application "Allydium Hub," including all software, interfaces, data, and associated infrastructure, developed and maintained by the ProjectM LLC. • “You” means any individual or entity accessing or using the App, including Agents, under this Agreement. • “Agent” means an authorized individual or entity granted access to the App by ProjectM LLC administrators, at Our discretion, to manage referrals. • “Referred Individual” means a third party whose contact information is submitted by an Agent as part of the referral system. We do not verify or endorse these individuals. • “Referral Data” means contact or identifying information submitted by an Agent about a Referred Individual, including but not limited to name, email, and phone number. • “Cashback” means a reward offered by Merchants based on qualifying purchases by Referred Individuals. We do not process payments or hold balances related to Cashback. • “Merchant” means an external e-commerce entity responsible for offering and processing Cashback rewards, independent of the ProjectM LLC. • “Platform” refers to the technical environment and services operated by the ProjectM LLC in connection with the App, including backend servers, APIs, dashboards, authentication systems, and CRM components. • “We,” “Us,” or “Our” refer to the ProjectM LLC, the developers and intellectual property holders of the App. 3. Eligibility and Account Access During this MVP phase, access for companies (admins) is limited and in development. Only Agent functionality is fully supported at this time. Use of the App is limited to individuals or entities who are at least 13 years of age. By accessing or using the App, you represent and warrant that you meet this age requirement. Misrepresentation of your age may result in termination of access. The App does not support public registration or open enrollment. Access is restricted to authorized Agents who receive login credentials directly from the ProjectM LLC or its designated administrators. You are responsible for maintaining the confidentiality of your credentials. We reserve the right to approve, deny, suspend, or revoke access to any individual or entity at Our sole discretion, without prior notice or obligation. If you believe you are eligible to become an Agent and wish to request access, please contact Us through the in-app contact form or at projectm.helper@gmail.com. When submitting a request through the in-app 'Request Access' form, you will be asked to provide your Full Name, Business Name (optional), Email, Phone (optional), and a message explaining your interest in joining Allydium Hub. This information will be used to evaluate your eligibility and communicate with you regarding your application. 4. Permitted Use and Restrictions You may use the App solely for its intended purpose: managing referrals and affiliate relationships as an authorized Agent within the ProjectM Platform. Any other use is strictly prohibited unless explicitly authorized in writing by the ProjectM LLC. The following actions are prohibited, including but not limited to: • Reverse-engineering, decompiling, disassembling, or attempting to derive the source code, architecture, or data structures of the App or its backend systems; • Copying, reproducing, cloning, sublicensing, selling, leasing, transferring, distributing, or otherwise exploiting any part of the App, including its API, authentication layers, logic models, dashboards, or user interface; • Circumventing access restrictions, bypassing authentication mechanisms, or using unauthorized tools or scripts to interact with the App or its infrastructure; • Using the App for unlawful, abusive, harassing, fraudulent, or exploitative purposes; • Hosting, mirroring, or developing derivative or white-label versions of the App; • Using the App in jurisdictions under United States export sanctions or embargoes, such as Iran, North Korea, Cuba, Syria, or other regions prohibited by U.S. law, as updated by applicable regulations; • Impersonating the ProjectM LLC, falsely representing affiliation, or using the App to create confusion about brand ownership or control. We reserve the right to suspend or terminate access to the App without prior notice if any prohibited use is suspected or confirmed, and We may pursue remedies under applicable law. 5. Referral and Cashback Functionality The App enables authorized Agents to submit contact information for third parties (“Referred Individuals”) through the referral interface. Agents may receive Cashback rewards based on qualifying purchases completed by these Referred Individuals on merchant websites or e-commerce platforms integrated with the ProjectM Platform. Cashback amounts, eligibility rules, payout schedules, and redemption conditions are determined solely by the participating Merchants. Each Merchant may define its own Cashback policies, which are subject to change at the Merchant’s discretion. The ProjectM LLC does not set, manage, distribute, or guarantee any Cashback payments. We do not serve as a financial intermediary, wallet provider, escrow service, or payout operator. All financial transactions are handled independently by the respective Merchants according to their terms and policies. Agents are solely responsible for understanding the Cashback structure associated with each Merchant and for communicating directly with the Merchant or affiliate program operator regarding specific reward conditions. Agents must ensure that submission of Referral Data complies with applicable privacy laws. Submission of false, unauthorized, or unlawful Referral Data may result in access termination and legal liability, including civil or criminal penalties, under applicable law. 6. Platform & Legal Compliance The App is designed to comply with the official Developer Program Policies of the Apple App Store and Google Play. The ProjectM LLC ensures that all components, features, and interactions within the App adhere to guidelines related to user privacy, data access, restricted content, and platform behavior. The App does not include or enable functionality that violates platform restrictions, including but not limited to: • Malware, spyware, or unauthorized code injection; • In-app purchases processed outside permitted channels; • Collection of personally identifiable data from unauthorized users; • Misleading or manipulative content. The App uses encryption for secure data transmission and account authentication, in compliance with U.S. export control regulations, including the Export Administration Regulations (EAR) and Office of Foreign Assets Control (OFAC) sanctions lists. We affirm that: • The App is not designed for or distributed to embargoed jurisdictions; • The App does not enable or facilitate export-restricted services; • Encryption is limited to protecting communication integrity and user authentication. The App does not promote, enable, or facilitate content or behavior prohibited under App Store or Google Play guidelines, including sexually explicit, hateful, violent, discriminatory, or deceptive content, nor does it violate the Digital Millennium Copyright Act (DMCA). The ProjectM LLC reviews platform policies and U.S. legal frameworks as required by updates and may modify the App to maintain compliance. 7. Intellectual Property Rights All components of the App, including its source code, backend architecture, infrastructure, internal APIs, authentication mechanisms, design assets, scripts, logic layers, and data models, are the exclusive intellectual property of the ProjectM LLC. No part of the App may be copied, reverse-engineered, reproduced, repackaged, sublicensed, resold, white-labeled, or modified in any form without the express written permission of the ProjectM LLC. This Agreement does not transfer or grant any ownership rights, licenses, or joint development claims to You, Agents, or third parties, including but not limited to publishing entities such as Kompozit LLC. All trademarks, brand identifiers, interface layouts, and proprietary technologies used in the App remain the sole property of the ProjectM LLC. Any unauthorized use, duplication, or representation of the App’s components—whether in whole or in part—constitutes a violation of intellectual property law, subject to DMCA procedures, and may result in civil or criminal enforcement under applicable law. 8. Third-Party Licensing & Publishing The Allydium Hub App may be published, distributed, or operated by third-party entities (e.g., Kompozit LLC) solely under a limited, non-exclusive, non-transferable, and revocable license granted by the ProjectM LLC. This license is granted for the sole purpose of operating and presenting the App within approved business or organizational contexts. Such license: • Does not confer any ownership interest, intellectual property rights, or authorship claims over the App, its content, or any part of its codebase or infrastructure; • Does not permit resale, sublicensing, replication, modification, reverse-engineering, or white-labeling of the App or its components; • May be terminated at any time by the ProjectM LLC, with or without cause, without prior notice or compensation; • Is granted at the sole discretion of the ProjectM LLC and may be subject to additional written terms. Any unauthorized use or continued operation of the App by third parties following license termination constitutes a material violation of this Agreement and may result in legal action, including injunctive relief or claims for damages. 9. Data Responsibility of Agents and Companies Authorized Agents and companies may submit contact information and other identifying data regarding Referred Individuals as part of their activities within the App. All such submissions of Referral Data are performed solely at the discretion and under the responsibility of the Agent or company. By submitting Referral Data, You represent and warrant that: • You have obtained all required consents and legal permissions to collect, store, and transmit such data under applicable local and international privacy laws, such as GDPR and CCPA; • The Referral Data is accurate, truthful, and provided in good faith; • The Referred Individuals are aware of the submission and have authorized it as required by law. The ProjectM LLC does not verify, and is not obligated to verify, the origin, accuracy, or legality of any Referral Data and disclaims all responsibility for its content or misuse. We act as a data processor and process this data on behalf of Agents and companies in accordance with the Data Processing Agreement (DPA) you accepted during registration. Agents and companies are solely liable for any legal claims, damages, or penalties—including civil, criminal, or regulatory penalties—resulting from inaccurate, unauthorized, or unlawful submission of Referral Data. We reserve the right to suspend or terminate access for any Agent or company found to have violated these responsibilities. 10. No Financial Intermediary Clause The ProjectM LLC is not a financial institution, payment processor, escrow provider, wallet service, or intermediary in any form of monetary transaction. Cashback rewards, referral-based incentives, and any associated financial arrangements are exclusively defined, administered, and distributed by participating Merchants. All terms, conditions, and eligibility requirements for such rewards are determined solely by those Merchants and may be subject to change at their discretion. The ProjectM LLC: • Does not handle, receive, transmit, store, or distribute any funds or financial assets on behalf of Agents, Merchants, or Referred Individuals; • Is not responsible for tracking, calculating, verifying, or auditing any Cashback amounts; • Does not guarantee payment timelines, amounts, or availability of Merchant rewards; • Is not liable for any disputes, losses, or damages arising from Cashback arrangements, reward claims, or financial transactions between Agents, Merchants, or other third parties. Agents are solely responsible for reviewing and accepting the financial terms presented by each Merchant and for resolving any related questions or disputes directly with the Merchant or its affiliate program administrator. 11. Export Compliance The App and its underlying technology are subject to United States export control laws, including the Export Administration Regulations (EAR) and regulations enforced by the Office of Foreign Assets Control (OFAC). By using the App, You represent and warrant that: • You are not located in, or a resident of, any country or territory subject to comprehensive U.S. sanctions or embargoes, such as Cuba, Iran, North Korea, Syria, or the Crimea, Donetsk, or Luhansk regions of Ukraine, as updated by U.S. regulations; • You are not identified on any U.S. government list of prohibited or restricted parties, including the Specially Designated Nationals (SDN) List, Denied Persons List, or Entity List; • You will not use, export, re-export, transfer, or release the App, its software, or services for any purpose prohibited by U.S. law, including the development, design, manufacture, or production of nuclear, missile, or chemical/biological weapons. The App uses standard encryption protocols solely for secure authentication and data transmission, consistent with applicable BIS regulations. No part of the App is designed for military or dual-use purposes. The ProjectM LLC reserves the right to deny, suspend, or revoke access to any user or entity found to be in violation of export compliance regulations, or suspected of such violation, and may pursue legal remedies under applicable law. 12. No Warranties Disclaimer The App is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory. You agree that, to the fullest extent permitted by applicable law, the ProjectM LLC disclaims all warranties, including: • Implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title; • Any warranty that the App will operate uninterrupted, error-free, or free from all security vulnerabilities; • Any warranty that the data, content, or results obtained through use of the App will be accurate, reliable, or suitable for Your intended purposes. You acknowledge that: • The App may experience occasional downtime, bugs, latency, or data delays due to technical limitations or third-party services outside Our control; • We do not guarantee compatibility with all devices, operating systems, or network environments; • Use of the App is entirely at Your own risk, and You assume full responsibility for any decisions made based on the App’s functionality or outputs. See Limitation of Liability below for additional details. 13. Limitation of Liability To the maximum extent permitted by applicable law, the ProjectM LLC is not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising from: • The use of or inability to use the App; • Any errors, bugs, interruptions, or technical malfunctions of the App or third-party systems outside Our control; • Unauthorized access to or alteration of Your data or submissions; • Your reliance on data or outputs generated by the App; • Any disputes between Agents, Referred Individuals, or Merchants. In jurisdictions where liability limitations are restricted, Our liability is limited to the maximum extent permitted by law. Under no circumstances will the ProjectM LLC’s aggregate liability for any claim or series of claims exceed one hundred U.S. dollars (USD $100) or the minimum amount permitted by applicable law, whichever is lower. You acknowledge and agree that You use the App voluntarily and assume all risks related to its use. 14. Termination and Suspension We reserve the right to suspend, restrict, or terminate Your access to the App at any time, without prior notice, if: • You breach or violate any provision of this Agreement; • We reasonably suspect misuse, fraud, or unauthorized behavior; • You submit false, misleading, or unlawful Referral Data; • Continued access poses technical, legal, reputational, or operational risk to the Platform or its users, as determined by Us. Such termination may be immediate and irreversible. We are not required to provide justification or prior warning before taking enforcement action. Suspension or termination does not entitle You to any refund, compensation, or reinstatement. All rights granted to You under this Agreement will cease upon termination. We reserve the right to take appropriate legal or technical action following any violation, including referral to law enforcement or seeking injunctive relief. If You believe Your access was revoked in error, You may contact Us at admin@projectm.spacefor further review. Reinstatement is not guaranteed. 15. Modifications to These Terms We reserve the right to modify, update, or replace any part of this Agreement at any time, as deemed necessary by Us. Modifications may be made to reflect changes in functionality, applicable laws, platform policies, or business practices. Any changes to these Terms will be effective immediately upon posting on our official website at https://projectm.space/allydium-terms-of-use and, where accessible, within the App, or as otherwise required by law. The updated version will include a revised Effective Date and Version identifier. Your continued use of the App after such modifications constitutes Your acceptance of the revised Terms. If You do not agree to the updated Agreement, You should cease using the App. We may notify You of significant changes via the App or other means, and We encourage You to periodically review this Agreement to stay informed of Your rights and obligations. 16. Governing Law & Jurisdiction This Agreement is governed by and construed in accordance with the laws of the jurisdiction in which the ProjectM LLC is legally established and operates (currently detailed at https://projectm.space/allydium-terms-of-use). By using the App, You agree that any dispute or claim arising out of or in connection with this Agreement is subject to the exclusive jurisdiction of the courts of that jurisdiction, except where mandatory local laws require otherwise. You may also opt for binding arbitration as an alternative to court proceedings, subject to mutual agreement and applicable law. Nothing in this clause creates any partnership, agency, joint venture, or employment relationship between You and the ProjectM LLC or any of its third-party publishing partners. 17. DMCA and IP Complaints The ProjectM LLC respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA). If You believe that content within the App infringes upon Your copyright or intellectual property rights, You may submit a formal notice of infringement to Our designated DMCA agent. To file a DMCA complaint, Your notice must include: • Your full legal name and contact information; • A detailed description of the copyrighted material allegedly infringed; • A clear identification of the location within the App where the infringement occurs; • A statement that You have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law; • A statement, made under penalty of perjury, that the information provided is accurate and that You are the copyright owner or authorized to act on behalf of the owner; • Your electronic or physical signature. Affected users may submit a counter-notice in accordance with DMCA procedures. Misuse of the DMCA process may result in legal consequences, including liability for damages, under applicable law. 18.
